Please read these Terms of Service ("Terms") carefully before using the Ridelytics mobile application (the "App") operated by NC Digital Pods Inc. ("we," "our," or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Ridelytics, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.

2. Definitions

"Rideshare App" refers to third-party driver applications for rideshare and delivery platforms, including but not limited to Uber Driver, Lyft Driver, Bolt Driver, InDrive, and similar applications.

3. Description of Service

Ridelytics is a utility application designed to help rideshare drivers analyze ride offer profitability. The App:

Displays estimated hourly wage calculations for ride offers
Shows profitability indicators based on your preferences
Operates independently and is not affiliated with any rideshare company

What Ridelytics Is NOT

Ridelytics is NOT an official rideshare application
Ridelytics does NOT guarantee earnings or profitability
Ridelytics does NOT modify or interact with any Rideshare App
Ridelytics is NOT affiliated with, endorsed by, or sponsored by Uber Technologies, Inc., Lyft, Inc., or any rideshare company

4. Eligibility

To use Ridelytics, you must:

Be at least 18 years old
Be a licensed rideshare driver or have legitimate interest in rideshare driving
Have a compatible Android device
Comply with all applicable laws and regulations

5. User Responsibilities

5.1 Safe Driving

Your safety is paramount. You agree to:

NEVER interact with Ridelytics while driving
Only review ride offer analysis when safely parked
Follow all traffic laws and safe driving practices
Not rely solely on Ridelytics for driving decisions

5.2 Compliance with Rideshare Terms

You are responsible for complying with the terms of service of any rideshare platform you use. Ridelytics is a third-party tool, and its use is at your own discretion.

5.3 Accurate Settings

You are responsible for entering accurate cost and preference settings. Ridelytics's calculations are based on the information you provide.

6. Accessibility Service Permission

Ridelytics requires Android Accessibility Service permission to function. By granting this permission, you acknowledge that:

The App will monitor screen content from supported Rideshare Apps
All processing occurs locally on your device
You can revoke this permission at any time in Android Settings

7. Free Access Period & Future Subscription Terms

7.1 Free Access Period

Ridelytics is currently free to use with all Pro features available at no cost until June 30, 2026. During this period:

No payment or credit card is required
No subscription is created
All Pro features are fully available

7.2 Future Subscription Plans

After the free access period ends, Ridelytics plans to introduce affordable subscription-based access to premium features. We will share pricing details well before June 30, 2026, so there are no surprises. When subscription plans are introduced, the following terms will apply:

7.3 Pricing and Billing

Subscription prices will be displayed in the App and on Google Play before purchase
Prices will be in Canadian dollars (CAD) unless otherwise indicated
Applicable taxes may be added to the subscription price
All payments will be processed through Google Play

7.4 Auto-Renewal

IMPORTANT: When subscription plans are available, your subscription will automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel before the renewal date.

You will be charged the then-current subscription price at each renewal
Renewal charges will be applied to your Google Play payment method
You will receive a reminder from Google Play before renewal

7.5 How to Cancel

You may cancel your subscription at any time:

Open the Google Play Store app on your device
Tap your profile icon in the top right
Select "Payments & subscriptions" then "Subscriptions"
Find Ridelytics and tap "Cancel subscription"
Follow the prompts to confirm cancellation

Alternatively, visit: play.google.com/store/account/subscriptions

Cancellation takes effect at the end of your current billing period. You will retain access to premium features until then.

7.6 Refunds

Refunds are handled according to Google Play's refund policy. Generally:

You may request a refund within 48 hours of purchase through Google Play
After 48 hours, refund eligibility is at Google's discretion
We do not process refunds directly - all refund requests must go through Google Play

7.7 Price Changes

We may change subscription prices from time to time. If we increase prices:

We will provide at least 30 days' notice before the new price takes effect
The new price will apply to your next renewal after the notice period
You may cancel before the price change takes effect if you do not agree to the new price

7.8 Subscription Modifications

We reserve the right to modify, suspend, or discontinue subscription features at any time. If we discontinue the subscription service entirely, we will provide a pro-rata refund for any unused portion of your current billing period.

8. Intellectual Property

8.1 Our Rights

Ridelytics, including its design, features, and content, is owned by NC Digital Pods Inc. and protected by intellectual property laws.

8.2 Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

8.3 Restrictions

You may not:

Copy, modify, or distribute the App
Reverse engineer or decompile the App
Use the App for any unlawful purpose
Remove any proprietary notices from the App

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

The App will be error-free or uninterrupted
Calculations will be accurate in all circumstances
The App will be compatible with all devices or rideshare app versions
The App will meet your specific requirements

Calculation Accuracy

Ridelytics's wage calculations are estimates based on:

Information displayed on your screen
Settings you configure
Optical character recognition (which may have errors)

Do not rely solely on Ridelytics for financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NC DIGITAL PODS INC. SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, earnings, or revenue
Loss of data or business interruption
Any damages arising from your use or inability to use the App

Our total liability shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim, or CAD $50, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless NC Digital Pods Inc. from any claims, damages, or expenses arising from:

Your use of the App
Your violation of these Terms
Your violation of any third-party rights
Your violation of any applicable laws

12. Third-Party Services

Ridelytics is designed to work alongside Rideshare Apps. We are not responsible for:

Changes to Rideshare Apps that affect Ridelytics functionality
Any actions taken by rideshare companies
The terms, policies, or practices of any third-party service

Trademarks

Uber®, Lyft®, Bolt®, InDrive®, and their respective logos are registered trademarks of their respective owners. Ridelytics is an independent application and is not affiliated with, endorsed by, or sponsored by Uber Technologies, Inc., Lyft, Inc., or any rideshare company. References to these services are made solely to describe compatible applications.

13. Updates and Changes

13.1 App Updates

We may update the App from time to time. Updates may be required for continued use.

13.2 Terms Updates

We may modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, for significant changes, through the App or via email if you have provided one. Continued use of the App after changes constitutes acceptance of the new Terms.

14. Termination

14.1 By You

You may stop using the App and uninstall it at any time. If you have an active subscription in the future, you should cancel it through Google Play before uninstalling to avoid future charges.

14.2 By Us

We may terminate or suspend your access to the App:

Immediately, without notice, if you violate these Terms
With 30 days' notice for any other reason

If we terminate your access without cause and you have an active paid subscription at that time, we will provide a pro-rata refund for any unused portion of your current billing period.

14.3 Effect of Termination

Upon termination, your license to use the App ends. Sections 9, 10, 11, and 15 survive termination.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15.2 Dispute Resolution

We encourage you to contact us first at [email protected] to resolve any disputes informally.

If a dispute cannot be resolved informally, you and NC Digital Pods Inc. agree to resolve it as follows:

For Canadian residents: Disputes shall be resolved in the courts of Ontario, Canada. Nothing in these Terms limits your rights under applicable provincial consumer protection legislation, including your right to bring a claim in your home province.
For residents outside Canada: You may choose to resolve disputes either in the courts of Ontario, Canada, or through binding arbitration administered by ADR Institute of Canada under its Arbitration Rules. If you choose arbitration, you may participate by phone or video conference.

Class Action Waiver: To the extent permitted by law, you agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. If the unenforceable provision can be modified to be enforceable, it will be modified to the minimum extent necessary.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NC Digital Pods Inc. regarding the App.

15.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver.

15.6 Assignment

You may not assign or transfer these Terms or your rights under them. We may assign our rights and obligations under these Terms without restriction.
